RUN-IT GENERAL TERMS & CONDITIONS

(Effective as of 25/02/2025)

1. Scope and Applicability

1.1 These General Terms & Conditions (“GTC”) establish the legally binding terms governing the relationship between Run-It (the “Provider”) and any individual or entity (the “User” or “Member” or “you”) who:

  • Purchases a Run-It Premium Membership, and/or
  • Engages with any services provided by Run-It beyond the scope of a specific Rental Agreement.

1.2 Separate Rental Agreement: The rental of running shoes is regulated by a distinct Rental Agreement which addresses matters such as usage rules, liability for damage, fees, and returns. In the event of any inconsistency between these GTC and the Rental Agreement, the terms of the Rental Agreement shall prevail exclusively for rental-related provisions. These GTC shall govern matters pertaining to the Membership and general usage of Run-It’s services.

1.3 By accessing or using any Run-It services, including the purchase of a Premium Membership, you confirm that you have read, understood, and agree to be bound by these GTC in full.

1.4 These GTC shall be deemed accepted upon your electronic consent (e.g., by checking a box or clicking an “I have read and agreed with theTerms & Conditions” button) during the online registration or purchase process. Such electronic acceptance shall constitute a legally binding agreement, equivalent to a handwritten signature under applicable Belgian and EU law, including Regulation (EU) No 910/2014 (“eIDAS”). Your acknowledgment of these GTC also constitutes your acceptance of the Disclaimer.

3. Premium Membership

3.1 Membership Overview
The Run-It Premium Membership (“Membership”) grants access to exclusive benefits for a fixed term of either six (6) months or twelve (12) months, as selected by the Member during purchase. No automatic renewal is provided, and no direct debit (“domiciliation”) arrangements exist.

3.2 Membership Benefits
The Premium Membership includes, inter alia, the following benefits:

  • Free testing of all our running shoes;
  • 15% discount on all shoes/clothing at TraKKs;
  • Discounts on second-life platforms (e.g., decommissioned testing shoes);
  • Discounts on future merchandise;
  • Access to our private Strava group;
  • Exclusive events organized or sponsored by Run-It.

3.3 No Guaranteed Availability
All benefits described in Section 3.2 are subject to availability. The Provider makes no warranty or representation that any particular product or event shall be continuously available throughout the Membership term.

3.4 Separate Rental Agreement
While Members may benefit from free shoe testing, additional rentals or extended usage of shoes remain subject to the Run-It Rental Agreement, which shall govern all rental-specific terms and conditions, including liability and fees for damage or late returns.

3.5 No Mid-Term Cancellation
Except as provided under Section 5 (Right of Withdrawal), the Membership is non-cancellable once the service has commenced (i.e., once you have begun to utilize any Membership benefit). Under no circumstances shall partial or prorated refunds be provided if you cease usage before the expiration of your 6- or 12-month term.


4. Payment Terms

4.1 One-Time Fee
Each Membership requires a single, upfront, non-refundable payment (“Membership Fee”) corresponding to the chosen term (6 or 12 months).

4.2 Payment Methods
You may remit the Membership Fee via the payment methods indicated by the Provider, which may include credit/debit cards, bank transfer, or other electronic payment services. If your initial payment fails, the Membership shall not be activated.

4.3 No Price Increases
The Provider undertakes not to implement any fee increases for the duration of the purchased Membership term.

4.4 No Non-Payment Issues
Since the Membership Fee is paid in full at the outset, there are no subsequent invoices or monthly payments. Consequently, no separate provisions regarding late or non-payment exist in these GTC.


5. Right of Withdrawal (14-Day Cooling-Off)

5.1 Applicability Under Belgian Law
If you purchase your Membership remotely (e.g., via the internet), you enjoy a statutory right under Belgian law to withdraw from the contract within fourteen (14) days of purchase, without giving any reason, provided you have not yet begun to use any Membership benefits. This cooling-off period is mandated by Book VI of the Belgian Code of Economic Law and relevant EU directives.

5.2 Exercising the Right
To exercise the right of withdrawal, you must unambiguously inform the Provider of your decision to withdraw, in writing (such as an email to brechtc@run-it.be). The Provider shall acknowledge receipt of your withdrawal request without undue delay.

5.3 Effect of Partial Use
If you commence use of any Membership benefits (e.g., free shoe testing, event participation, or discounts) within the statutory 14-day withdrawal period, the Provider shall be entitled to deduct from any refund an amount corresponding to the normal cost of the services or benefits actually used. This deduction is calculated based on the Provider’s prevailing rates for such services when purchased or used outside the Membership framework, ensuring you are charged proportionately for the value of the benefits already received.

5.4 Waiver of Withdrawal
If you have fully utilized the benefits or if the Membership’s primary service is deemed fully performed within the withdrawal period, your right of withdrawal is waived to that extent, and no refund shall be provided.

5.5 No Withdrawal After 14 Days
After expiration of the statutory 14-day period, no withdrawal (cancellation) is possible, and the Membership Fee remains payable in full.


6. Liability & Waivers

6.1 Assumption of Risk
You acknowledge that running, physical exercise, and the testing or renting of running shoes involve inherent risks. By participating in any activity facilitated by Run-It (including, but not limited to, group runs, personal testing of shoes, or usage of discounted merchandise), you assume all risks associated with these activities.

6.2 Limitation of Liability
To the maximum extent permitted by applicable Belgian law, the Provider disclaims liability for any direct, indirect, or consequential damages arising out of or in connection with:

  • Your participation in events or activities offered under this Membership;
  • The use of discounted or rental shoes;
  • Lost opportunities, missed races, or diminished performance;
  • Any personal injury, except in cases of gross negligence or willful misconduct by the Provider.

6.3 Mandatory Belgian Consumer Protections
Nothing in these GTC shall exclude or limit liability where such exclusion or limitation is prohibited by Belgian law, including but not limited to liability for death or personal injury caused by the Provider’s gross negligence or willful misconduct.


7. Intellectual Property & Marketing

7.1 Intellectual Property Rights
All logos, images, designs, data, and other proprietary materials associated with Run-It remain the exclusive property of the Provider. No license or right is granted to Users or Members beyond the limited right to access and use the materials for personal, non-commercial purposes. Any copying, modification, or dissemination of such content for commercial ends requires the Provider’s prior written consent.

7.2 Media & Likeness
During membership events, the Provider may capture photographs, videos, or other media that include your image or likeness. By attending or participating, you grant the Provider a non-exclusive, royalty-free license to use these media for promotional or marketing purposes, unless you explicitly object in writing via email to brechtc@run-it.be prior to the event.

7.3 Marketing Communications
By purchasing a Membership, you consent to receive marketing and promotional materials from the Provider. You may withdraw consent at any time by clicking the unsubscribe link in any email or by contacting brechtc@run-it.be.


8. Force Majeure

8.1 In the event of any circumstance beyond the reasonable control of the Provider (e.g., acts of God, wars, strikes, pandemics, governmental actions), the Provider shall not be deemed in breach of these GTC if its obligations are impossible or impracticable to perform.
8.2 The Provider may suspend or modify the provision of services for the duration of the force majeure event. Neither party shall be liable for losses arising from such suspension or modification.


10. Modifications & Amendments

10.1 Future Changes
The Provider reserves the right to amend or supplement these GTC for future Membership terms or other services. The Provider shall provide notice of any material changes through email or via its website.

10.2 No Retroactive Impact
Amendments shall not affect the current 6- or 12-month Membership that you have already purchased, unless required by law.

10.3 Acceptance of Amendments
By continuing to use the Provider’s services after any amendments become effective, you signify your acceptance of the revised GTC. If you do not agree with the amendments, you are free to discontinue use of the services at the end of your current Membership term.


11. Governing Law & Dispute Resolution

11.1 Governing Law
These GTC and any disputes arising hereunder are subject to and shall be construed in accordance with Belgian law, without regard to conflict-of-law principles.

11.2 Exclusive Jurisdiction
All disputes arising out of or in connection with these GTC shall be submitted to the exclusive jurisdiction of the competent courts in Belgium.

11.3 Amicable Resolution
Before instituting any legal proceedings, the parties agree to endeavor in good faith to resolve disputes by negotiation, and if unsuccessful, by mediation, in accordance with Belgian law or recognized mediation frameworks.


12. Severability

If any provision or part of a provision in these GTC is deemed invalid, illegal, or unenforceable by a court of competent jurisdiction, such invalidity shall not affect the validity of the remaining provisions, which shall remain in full force and effect. The parties shall negotiate in good faith to replace the invalid or unenforceable provision with a valid one that most closely approximates the intent and economic effect of the original provision.


13. Entire Agreement

13.1 These GTC, together with the Run-It Rental Agreement (where applicable), constitute the entire agreement between you and the Provider relating to your Membership and usage of Run-It’s services.
13.2 No other agreements, whether oral or written, will supersede or replace these GTC unless explicitly agreed by the Provider in writing.


14. Electronic Acceptance

14.1 By checking the “I Accept” box, clicking a “Purchase” or “Agree” button, or otherwise indicating your assent electronically, you acknowledge and agree that such action constitutes your valid and binding electronic signature, thereby evidencing your full acceptance of these GTC.
14.2 You further acknowledge that you have read, understood, and agree to be bound by these GTC, and that you are of legal age and capacity to enter into a legally binding agreement under Belgian law.
